ARTICLES OF INCORPORATION
OF
THE PLAID IGUANA COMPANY
KNOW ALL MEN BY THESE PRESENTS;
The undersigned, having associated themselves together for the purpose of forming a corporation under laws of the State of Arizona, hereby adopt the following Articles of Incorporation:
ARTICLE I
NAME
The name of the corporation is THE PLAID IGUANA COMPANY, an Arizona corporation.
ARTICLE II
PURPOSE
The purpose for which this corporation is organized is the transaction of any or all lawful business for which corporations may be incorporated under the laws of this state. The initial purpose of the corporation shall be to rent water crafts, and any other legal business.
ARTICLE III
AUTHORIZED CAPITAL
The corporation shall have the authority to issue One Million (1,000,000) shares of one dollar ($1.00) par value common stock.
ARTICLE IV
OFFICE AND LOCATION
The office and location of the corporation shall be 4240 Comstock Dr., Lake Havasu City, AZ 86406.
ARTICLE V
STATUTORY AGENT
The name and address of the statutory agent of the corporation is Matthew G. Young, 4240 Comstock Dr., Lake Havasu City, AZ 86406.
ARTICLE VI
BOARD OF DIRECTORS
The Board of Directors shall be the governing body of the corporation. The number of persons, not fewer than two (2) nor to serve on the Board of Directors, shall be fixed by the Shareholders at the annual meeting or at any special meeting called for that purpose. The initial number of directors shall be two. The persons to serve as Directors until the first annual meeting of shareholders are Matthew G. Young and Craig J. Young, 4240 Comstock Dr., Lake Havasu City, AZ 86406.
ARTICLE VII
INCORPORATOR
The incorporators of the corporation are Matthew G. Young and Craig J. Young, same address as above.
ARTICLE VIII
FISCAL YEAR
The fiscal year of the corporation shall end December 31.
